Terms of Service

1. Acceptance of terms

By creating an account or using ClubOps ("the Service"), operated on ProStack NG infrastructure, you agree to these Terms of Service and to the Privacy Policy. If you're creating an account on behalf of a nightclub or venue ("Club"), you're confirming you have authority to bind that Club to these terms.

2. What ClubOps is

ClubOps is a multi-tenant software-as-a-service platform for nightclub operations: point-of-sale, inventory, staff management, event and table-reservation management, accounting, and biometric entry logging. Each Club is a separate tenant; Club data is not visible to other Clubs on the platform.

3. Accounts and roles

  • The person who registers a Club becomes its manager account, and is responsible for creating and managing staff accounts (cashier, accountant, procurement, analyst) under that Club.
  • You're responsible for keeping login credentials confidential and for all activity under your account. Notify us immediately at the support address below if you suspect unauthorized access.
  • Usernames are unique across the entire platform, not just within one Club.

4. Subscriptions and billing

  • New Clubs start on a 21-day trial. No payment is collected during the trial.
  • Paid plans (Starter, Pro, Enterprise) are billed on a recurring basis through Paystack. See the Payment Policy for billing-cycle and failed-payment details, and the Refund Policy for cancellations.
  • We may change plan pricing with notice; continued use after a price change takes effect constitutes acceptance of the new price.

5. Biometric data

ClubOps supports storing a facial-recognition descriptor (a mathematical representation of a face, not a photograph) for entry-logging purposes, at the Club's discretion. This is sensitive personal data under Nigeria's Data Protection Act 2023 (NDPA). If your Club enables this feature, you are responsible for obtaining valid consent from the individuals whose biometric data is captured, in line with the NDPA and the Privacy Policy's biometric-data section.

6. Acceptable use

You agree not to: use the Service for any unlawful purpose; attempt to access another Club's data; attempt to circumvent rate limits, authentication, or other security controls; upload malicious code; or use the Service in a way that could disrupt it for other Clubs on shared infrastructure.

7. Your data

You retain ownership of the operational data you enter into ClubOps (sales, inventory, staff records, customer data your Club collects). We process it on your behalf to provide the Service, as described in the Privacy Policy. On termination, see Section 9.

8. Service availability

We aim for high availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated where practical. The Service is provided "as is" without warranties of any kind, to the maximum extent permitted by Nigerian law.

9. Termination

You may cancel at any time; see the Refund Policy for what happens to your subscription. We may suspend or terminate accounts that violate these terms, engage in fraud, or pose a security risk to the platform. On termination, Club data is retained for a limited period to allow export, then deleted. See the Privacy Policy's retention section for specifics.

10. Limitation of liability

To the maximum extent permitted by law, ClubOps and its operators are not liable for indirect, incidental, or consequential damages arising from use of the Service. Nothing in these terms limits liability that cannot be limited under Nigerian law.

11. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria.

12. Changes to these terms

We may update these terms from time to time. Material changes will be communicated by email or in-app notice before taking effect.
